Please read these Terms of Service ("Terms") carefully before using the RepriceLabs software and services operated by RepriceLabs ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

RepriceLabs provides automated Amazon repricing software that integrates with Amazon's Selling Partner API (SP-API). You may use the Service only for lawful purposes and in accordance with these Terms and Amazon's terms of service.

To use the Service, you must authorize RepriceLabs to access your Amazon Seller Central account via SP-API OAuth. By providing this authorization, you grant RepriceLabs permission to:

You may revoke this authorization at any time through your Amazon Seller Central developer settings. Revoking authorization will disable the Service's ability to reprice your listings.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You are solely responsible for your repricing configuration, including minimum prices, maximum prices, and cost of goods data. RepriceLabs is not responsible for pricing decisions that result in losses or Amazon policy violations due to incorrect configuration.

4. Pricing and Payment

Subscription fees are billed monthly or annually as selected at signup. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that repricing decisions will result in increased sales or profitability. Use of the Service is at your own risk.

6. Limitation of Liability

To the maximum extent permitted by law, RepriceLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the three months preceding the claim.

7. Indemnification

You agree to indemnify and hold RepriceLabs harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights including Amazon's terms of service.

8. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will immediately cease.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration.
